Terms of Service

1. Acceptance of Terms
By accessing or using the Bid Intelligence platform (the "Service") operated by Emergent AI Inc. ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
By clicking "Sign in with Google" or otherwise accessing the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.
2. Description of Service
Bid Intelligence is an AI-powered platform that helps users discover, analyze, and respond to Canadian government tender opportunities. Features include natural-language tender search, document analysis, and AI-assisted proposal drafting.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. The Service is intended for business and professional use in connection with procurement activities.
4. Account and Access
Access to the Service requires signing in with a Google account. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us immediately at support@emergentai.ca of any unauthorized use.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations.
- Attempt to gain unauthorized access to any part of the Service or its infrastructure.
- Scrape, crawl, or systematically extract data from the Service.
- Submit false, misleading, or fraudulent information.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to generate content intended to deceive or defraud procurement authorities.
6. AI-Generated Content
The Service uses artificial intelligence to generate search results, summaries, and draft documents. All AI-generated content is provided for informational and drafting purposes only. You are solely responsible for reviewing, verifying, and taking responsibility for any content submitted in response to a tender. We do not warrant the accuracy, completeness, or fitness of any AI-generated output for any specific procurement purpose.
7. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Emergent AI Inc. and its licensors. You retain ownership of any original content you provide. By using the Service, you grant us a limited licence to process your inputs solely to provide and improve the Service.
8. Third-Party Data
Tender data displayed on the Service is sourced from publicly available government procurement portals. We do not guarantee the accuracy, timeliness, or completeness of this data. Always consult the original issuing authority for authoritative tender information.
9. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Emergent AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
11. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this page or by other reasonable means. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
